Contract To Prevail Over Purchase Order
CONTRACT TO PREVAIL OVER PURCHASE ORDER
This writing constitutes the entire agreement between the parties relating to the sales of the specified materials mentioned in this contract during the specified period of this contract, and this writing shall prevail over any and all terms contained in buyers purchase orders or sellers acknowledgment. However, prices, quantities, dates and places of deliveries and means of transportation are to be fixed by buyers purchase orders and sellers acknowledgments. No waiver, discharge or modification of this writing or any of its terms shall bind seller unless in writing and signed by the authorized representative of seller.
This is a UCC-buying and selling form.
It is intended to be an addendum to other forms.
